Terms of Service

These Terms govern your use of MiraCMO ("MiraCMO", "the service"), a product operated by Tradetron Inc. ("we", "us"). By creating an account or using the service, you agree to these Terms. If you are using MiraCMO on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. The service

MiraCMO lets you hire Mira, an autonomous AI Chief Marketing Officer, who acts under your direction across the channels you enable. Mira operates within the controls you set: identity-verified authority, budget envelopes, and an approval-in-the-loop where required.

2. Your account

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. You must be of legal age to enter a contract in your jurisdiction.

3. Authority, approvals and your responsibility for Mira's actions

Mira acts on your instructions and within the budgets and permissions you grant. You are responsible for the instructions you give and the spend you approve. You agree to review the controls available to you (budget envelopes, approvals, audit log) and to use them. AI systems can make mistakes; you should not rely on Mira for legal, financial, medical or other professional advice without independent review.

4. Fees and billing

• Mira fee — a flat monthly fee, as shown at the time you hire. Pausing Mira stops that fee going forward.
• Agency commission — in addition to the monthly fee, 15% of the ad spend Mira manages on your behalf via the connected platforms (e.g. Meta, Google), charged on the budget you set and see in your own ad accounts. The media spend itself passes through at cost, with no markup; the 15% is the commission on top.
• Claude tokens — billed at cost from a prepaid wallet you top up. If the wallet runs dry, Mira pauses.
• Real-world spend — third-party costs Mira incurs on your instruction (e.g. ad spend, cloud bills) are billed through to you at cost, with no markup. You approve the envelope.

Fees are exclusive of applicable taxes (e.g. GST), which will be added where required. Wallet balances and prepaid amounts are non-refundable except where required by law.

4a. Trial

If a trial is offered, it runs for the stated period or credit, after which the service is blocked until you top up or subscribe, unless cancelled earlier. We may change or end trial offers at any time.

5. Connected accounts and your keys

You may run integrations on our shared keys or connect your own. Where you connect your own keys, you are responsible for compliance with that platform's terms, and spend lands directly on your accounts. We only integrate with platforms that expose an API and may add or remove integrations over time.

6. Acceptable use

You agree not to use MiraCMO to break the law, infringe others' rights, send spam or unlawful communications, attempt to bypass security or usage controls, or have Mira perform actions you are not authorised to perform. We may suspend the service for violations.

7. Your data

You retain ownership of your data and outputs. You grant us the licence needed to operate the service. Our handling of personal data is described in our Privacy Policy. Your logs are yours and are exportable on request.

8. Availability

We work to keep the service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features, with notice where reasonable.

9. Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Mira's outputs are accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Tradetron Inc. will not be liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the fees you paid us for the service in the three months before the event giving rise to the claim.

11. Indemnity

You agree to indemnify Tradetron Inc. against claims arising from your use of the service, the instructions you give Mira, the spend you approve, and your breach of these Terms.

12. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the service ends; provisions that by nature should survive will survive.

13. Changes to these Terms

We may update these Terms. Material changes will be notified through the service or by email, and the "last updated" date above will change. Continued use after changes means you accept them.

14. Governing law

These Terms are governed by the laws applicable to Tradetron Inc., and disputes are subject to the courts of its principal place of business, except where mandatory local law provides otherwise.
